1) Definitions

• "AInSEO," "we," "us," "our" - AInSEO, the AI-driven SEO agency operating this website and Services.
• "Client," "you," "your" - Any person or entity that visits the site, inquires about, or purchases our Services.
• "Agreement" - These Terms, along with any Service Order, SOW (Statement of Work), or written addenda.

2) Acceptance of Terms

By using the Services, submitting a form, signing a proposal, or paying an invoice, you acknowledge that you have read, understood, and agree to these Terms. If you are using the Services on behalf of a company, you represent that you have authority to bind that company to these Terms.

3) Services Overview

AInSEO provides AI-driven SEO solutions, which may include (as applicable):

• GEO SEO (Geographic Search Optimization)
• AEO (Answer Engine Optimization)
• SXO / AXO (Search/Experience Optimization)
• LLM SEO (Large Language Model Optimization)
• Keyword research, clustering, and topical mapping
• Content strategy, briefs, and optimization
• Technical SEO audits & Core Web Vitals consulting
• Schema markup, internal linking, and SERP enhancements
• AI-driven reporting, dashboards, and automation

We may add, modify, or discontinue features at any time. Material changes will be reflected on this page.

4) Eligibility & Accounts

• You must be at least 18 years old and able to enter into contracts.
• You are responsible for safeguarding any account credentials and for all activity under your account.
• You agree to provide accurate, current information and to update it as needed.

5) Client Responsibilities

• Provide timely access to websites, analytics, CMS, hosting, or third-party tools required to deliver Services.
• Supply accurate content, brand guidelines, and approvals within agreed timelines.
• Maintain your website’s security, backup policies, and compliance with applicable laws.
• Ensure materials you provide do not infringe third-party rights or contain unlawful content.

6) AI Usage & Disclosures

Our processes may use artificial intelligence (e.g., for research, clustering, content drafting, or QA). While human oversight is applied, you acknowledge that:

• AI outputs may require editorial review and compliance checks by you.
• No outcome (e.g., rankings, traffic, conversions) can be guaranteed due to factors beyond our control.

7) Deliverables, Licenses & Ownership

• Work Product: Upon full payment, final deliverables specifically created for you (e.g., strategy docs, briefs, optimized content) are licensed to you for your business use, unless otherwise stated in the SOW.
• Tools & Methods: Our internal frameworks, prompts, models, templates, and software remain our exclusive IP.
• Third-Party Assets: Use of stock media, fonts, or software is subject to the third-party’s license terms.

8) Fees, Billing & Taxes

• Fees are specified in your proposal or SOW and are payable in the currency indicated.
• Unless stated otherwise, invoices are due upon receipt. Late payments may incur suspension of Services and/or a late fee.
• Fees are exclusive of taxes; you are responsible for applicable taxes, duties, or levies.

9) Cancellations, Term & Refunds

• Term: Month-to-month or fixed term, as stated in your SOW.
• Cancellation: Provide written notice at least 7 days before the next billing cycle to avoid renewal.
• Refunds: Unless expressly stated in your SOW, fees are non-refundable for work already performed or reserved capacity.

10) No Rankings Guarantee

Search algorithms, competitive landscapes, and platform policies change frequently. While we apply best practices, AInSEO does not guarantee specific positions, impressions, clicks, or revenue outcomes.

11) Confidentiality & Data Protection

• Each party agrees to keep the other’s non-public information confidential and to use it only for fulfilling the Agreement.
• We process personal data in accordance with our Privacy Policy. Do not share sensitive data unless strictly necessary.

12) Third-Party Services

We may recommend or integrate third-party tools (e.g., analytics, crawlers, AI platforms). Your use of such tools is governed by the third-party’s terms and privacy policies. We are not responsible for third-party service outages or data handling.

13) Warranties & Disclaimers

• The Services are provided "as is" and "as available."
• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant error-free or uninterrupted operation.

14) Limitation of Liability

To the maximum extent permitted by law, AInSEO will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits; loss of data; or business interruption. Our total liability for any claim arising out of or relating to the Services will not exceed the fees paid by you to AInSEO for the Services giving rise to the claim during the three (3) months preceding the event.

15) Indemnification

You agree to defend, indemnify, and hold harmless AInSEO and its directors, officers, employees, and contractors from any claims, damages, liabilities, and expenses arising out of: (a) your content or instructions; (b) your breach of these Terms; or (c) your violation of applicable laws or third-party rights.

16) Force Majeure

Neither party will be liable for failure or delay due to events beyond reasonable control (including outages, cyber incidents, labor disputes, natural disasters, or governmental actions), provided reasonable efforts are used to resume performance.

17) Changes to the Terms

We may update these Terms from time to time. The latest version will be posted on this page with the "Last updated" date. Continued use of the Services after changes means you accept the revised Terms.

18) Governing Law & Dispute Resolution

These Terms are governed by the laws of your principal place of business jurisdiction (specify in your SOW). Any dispute will be subject to the exclusive jurisdiction of the courts in that location, unless otherwise agreed in writing.

19) Miscellaneous

• Severability: If any provision is unenforceable, the remaining provisions remain in effect.
• No Waiver: A failure to enforce any provision is not a waiver of that provision.
• Assignment: You may not assign this Agreement without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
• Entire Agreement: These Terms, together with any SOW or written addenda, constitute the entire agreement between the parties regarding the Services.
• Notices: Formal notices must be sent to the contact listed below or via the method specified in your SOW.
